Subscription Term and Termination

This Agreement shall commence on the Effective Date when initial payment has been made and continue for a period of one (1) year (the "Subscription Term") unless earlier terminated by either party in accordance with this Agreement. The Subscription Term will automatically renew for successive one (1) year periods unless either party provides written notice of its intention not to renew at least thirty (30) days prior to the end of the then-current Subscription Term.

Subscription Fee and Payment Terms

Customer shall pay DarkBox the following fees for the Services:

• Initial Set-Up Fee: A one-time initial set-up fee (the "Set-Up Fee") is due and payable upon execution of this Agreement.
• Main Account Holder Subscription Fee: A monthly subscription fee of (the "Main Account Holder Subscription Fee") at the execution of this Agreement and due and payable each month during the Subscription Term, commencing on the Effective Date.
• Additional User Subscription Fee: For each additional user added to Customer's account (each, an "Additional User"), a monthly subscription fee (the "Additional User Subscription Fee") is due and payable each month during the Subscription Term.
All fees are exclusive of applicable taxes, levies, or duties, which are the responsibility of the Customer. Payments are due at receipt of the invoice and automatically deducted from Customer saved payment sources in accordance with the Recurring Authorization Form.
• Monthly Services Subscription. Late payments may be subject to interest at the rate of 1.5% per month, or the highest rate allowed by law, whichever is lower.

Additional Users

Customer may add Additional Users to its account by providing written notice to DarkBox, which shall include the name and contact information for each Additional User. The Additional User Subscription Fee will be added to the Main Account Holder's invoice for the next billing cycle.

Confidentiality

Both parties agree to maintain the confidentiality of all confidential and proprietary information exchanged pursuant to this Agreement and to use such information solely for the purposes of this Agreement. Confidential information does not include information that is or becomes publicly known, was independently developed, or is lawfully obtained from a third party without an obligation of confidentiality.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the Texas, without regard to its conflict of laws principles. Any disputes arising out of or related to this Agreement shall be resolved by final and binding arbitration in accordance with the rules of the American Arbitration Association, and judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

Entire Agreement

This Agreement constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior negotiations, discussions, and agreements, whether written or oral, between the parties. IN WITNESS WHEREOF, the parties have executed this Agreement as of the date first payment is recieved(the "Effective Date").
